Terms of Use

1. Introduction

Welcome to Manywise.

These Terms of Use ("Terms") govern your access to and use of Manywise, including our website, applications, software, artificial intelligence services, subscriptions, APIs (if offered), file uploads, web search, projects, generated documents, memory features, learning tools, and all related products and services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

Our Privacy Policy explains how we collect and process personal data. By using the Services, you acknowledge that your personal data may be processed in accordance with our Privacy Policy.

Certain features may be subject to additional policies, notices, or supplemental terms. Where applicable, those additional terms become part of these Terms.

2. Eligibility and Accounts

2.1 Eligibility

You may use Manywise only if you are legally permitted to enter into a binding agreement under the laws applicable to you.

If you access or use the Services on behalf of a company, organization, educational institution, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. In that case, the terms "you" and "your" refer both to you personally and to that entity.

2.2 Account Registration

Certain features require the creation of a user account.

You agree to provide accurate, complete, and up-to-date information during registration and to keep such information current throughout your use of the Services.

You are responsible for maintaining the confidentiality of your login credentials and for safeguarding access to your account.

You are responsible for all activities that occur under your account, whether or not authorized by you.

If you believe that your account has been compromised or accessed without authorization, you must notify us without undue delay.

2.3 Account Security

You must take reasonable measures to prevent unauthorized access to your account.

You must not:

* share your login credentials with unauthorized persons;

* circumvent authentication mechanisms;

* create accounts using false identities;

* impersonate another individual or organization; or

* use another person's account without authorization.

We may require identity verification where reasonably necessary to protect users, comply with legal obligations, investigate suspected abuse, or maintain the security of the Services.

2.4 Availability of Accounts

We reserve the right to refuse registration, restrict account creation, suspend accounts, or terminate access where reasonably necessary to:

* comply with applicable law;

* protect the security or integrity of the Services;

* prevent fraud or abuse;

* enforce these Terms;

* investigate suspected misconduct;

* comply with requests from competent authorities; or

* protect the rights, property, or safety of Manywise, our users, or third parties.

3. Using Manywise

Subject to these Terms, Manywise grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for their intended purposes.

Your available features, usage limits, AI models, storage capacity, upload limits, subscription benefits, and other functionality may depend on your subscription plan or account status.

Manywise continuously evolves.

Accordingly, we may introduce, modify, replace, improve, suspend, or discontinue features, models, integrations, interfaces, APIs, workflows, or other parts of the Services where reasonably necessary for technical, operational, security, legal, or business reasons.

Unless expressly stated otherwise, no feature, AI model, integration, or functionality is guaranteed to remain permanently available.

You agree to use the Services responsibly, lawfully, and in accordance with these Terms and all applicable laws.

You must not use the Services in any manner that could interfere with, damage, overload, disrupt, or compromise the availability, integrity, security, or reliability of Manywise or any connected systems.

You remain solely responsible for all activities conducted through your account and for your use of the Services.

Terms of Use (Part 2)

4. User Content and AI Outputs

4.1 User Content

The Services allow you to submit, upload, create, store, or otherwise provide prompts, text, files, images, audio, documents, project instructions, feedback, and other materials (collectively, "User Content").

You retain ownership of your User Content.

You are solely responsible for ensuring that your User Content:

* complies with applicable laws and regulations;

* does not infringe the intellectual property, privacy, publicity, confidentiality, or other rights of third parties;

* is submitted only where you possess the necessary rights, permissions, licenses, or other legal authority; and

* does not violate these Terms or our policies.

You represent and warrant that you have all rights necessary to submit your User Content to Manywise.

4.2 License to Manywise

To operate and provide the Services, you grant Manywise a worldwide, non-exclusive, royalty-free, revocable (subject to applicable retention obligations), limited license to:

* host;

* store;

* reproduce;

* process;

* transmit;

* analyze;

* display where necessary;

* create temporary copies; and

* otherwise use your User Content

solely for the purpose of providing, securing, maintaining, improving, supporting, and operating the Services.

This license automatically terminates once your User Content has been deleted from our systems, except where continued processing is required by law, necessary for security, backup restoration, dispute resolution, fraud prevention, or other legitimate legal purposes.

Manywise does not acquire ownership of your User Content.

4.3 AI Outputs

The Services may generate responses, documents, summaries, code, images, study materials, analyses, recommendations, or other content ("Outputs") using artificial intelligence.

Subject to applicable law and the rights of third parties, you may use Outputs for any lawful purpose.

Because artificial intelligence generates probabilistic results, Outputs may:

* contain inaccuracies;

* be incomplete;

* become outdated;

* include hallucinations;

* reflect biases;

* omit relevant information; or

* otherwise be unsuitable for your intended purpose.

You remain solely responsible for reviewing, verifying, and evaluating all Outputs before relying on or using them.

4.4 Similar Outputs

Artificial intelligence models may generate similar or identical Outputs for different users.

Accordingly:

* similar Outputs do not establish ownership rights;

* you are not granted rights to Outputs generated for other users; and

* other users may independently receive similar or identical Outputs.

4.5 Professional Judgment

Manywise is an AI assistance platform.

The Services do not constitute legal, medical, financial, tax, accounting, engineering, psychological, educational, or other professional advice.

You must not rely solely on AI-generated Outputs when making decisions that may significantly affect individuals, organizations, finances, health, education, employment, safety, or legal rights.

Appropriately qualified human review remains your responsibility.

5. Subscription Plans, Billing and Fair Use

5.1 Subscription Plans

Certain features of Manywise require a paid subscription.

Available subscription plans, features, AI models, storage capacities, upload limits, web search allowances, usage quotas, and pricing are described on our pricing pages or within the Services.

We may introduce, modify, or discontinue subscription plans where reasonably necessary for operational, technical, legal, or business reasons.

5.2 Billing

Paid subscriptions are processed through our payment provider.

By purchasing a subscription, you also agree to comply with the applicable terms of our payment provider.

Unless expressly stated otherwise, subscriptions automatically renew for successive billing periods until cancelled.

You may cancel your subscription at any time through your account settings or the payment provider's customer portal.

Cancellation becomes effective at the end of the current billing period unless applicable law requires otherwise.

Where permitted by applicable law, payments already made are non-refundable.

5.3 Pricing

Prices displayed within the Services may change from time to time.

Price changes apply only to future billing periods.

Where required by applicable law, we will provide advance notice before material pricing changes take effect.

5.4 Payment Issues

If payment cannot be successfully processed, we may:

* suspend premium features;

* downgrade available functionality;

* restrict access to paid Services; or

* suspend your subscription

until the outstanding payment issue has been resolved.

5.5 Fair Use

To ensure reliable availability of the Services for all users, Manywise applies reasonable Fair Use measures.

Depending on your subscription plan, this may include limitations relating to:

* AI requests;

* available models;

* web searches;

* file uploads;

* storage;

* processing priority;

* usage budgets;

* request frequency; or

* other technical limits.

Even where a plan is described as "unlimited," usage must remain consistent with normal individual use.

We may temporarily reduce available functionality, apply alternative routing, introduce temporary rate limits, or otherwise manage resource allocation where reasonably necessary to maintain platform stability, security, fairness, or operational sustainability.

These measures are intended to protect the Services and all users and do not constitute a reduction of your contractual rights beyond what is reasonably necessary for these purposes.

Terms of Use (Part 3)

6. Third-Party Services

6.1 Third-Party Providers

To operate the Services, Manywise relies on various third-party providers, including providers responsible for authentication, payment processing, hosting, cloud infrastructure, artificial intelligence, web search, file storage, databases, email delivery, and other technical services.

Your use of certain features may require the processing of information by one or more of these providers.

6.2 Connected Services

The Services may allow you to connect supported third-party services, such as email providers, calendars, cloud storage services, or other integrations.

When you choose to connect a supported service, you authorize Manywise to access and process only the information necessary to perform the actions you explicitly request.

Depending on the integration, this may include reading data, preparing drafts, creating calendar events, retrieving files, or other requested actions.

Certain actions that modify third-party data may require your confirmation before they are executed.

6.3 Third-Party Terms

Third-party services are governed by their own terms, privacy policies, and contractual conditions.

Manywise is not responsible for:

* the availability of third-party services;

* changes made by third-party providers;

* third-party security practices;

* third-party privacy practices;

* third-party outages; or

* content provided by third parties.

Your use of third-party services is at your own risk and subject to the applicable agreements between you and the respective provider.

6.4 Changes to Integrations

We may add, modify, replace, suspend, or discontinue integrations or third-party services at any time where reasonably necessary for legal, technical, operational, security, or business reasons.

Whenever reasonably practicable, material changes affecting existing functionality will be communicated in advance.

7. Intellectual Property

7.1 Ownership of the Services

Manywise and all related intellectual property remain the exclusive property of Manywise or its licensors.

This includes, without limitation:

* software;

* source code;

* APIs;

* databases;

* algorithms;

* prompts;

* system prompts;

* workflows;

* user interfaces;

* visual designs;

* branding;

* trademarks;

* logos;

* documentation;

* graphics;

* service names; and

* all other proprietary technology comprising the Services.

Except as expressly provided in these Terms, no ownership rights are transferred to you.

7.2 Limited License

Subject to your compliance with these Terms, Manywise grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your own lawful purposes.

No license is granted to:

* copy;

* reproduce;

* distribute;

* modify;

* create derivative works;

* reverse engineer;

* decompile;

* disassemble;

* commercially exploit; or

* otherwise use the Services beyond their intended functionality,

unless expressly permitted by applicable law or by prior written authorization from Manywise.

7.3 Feedback

If you voluntarily submit ideas, suggestions, feature requests, comments, bug reports, or other feedback regarding the Services, you grant Manywise a perpetual, worldwide, irrevocable, royalty-free license to use, modify, publish, implement, and incorporate such feedback without compensation or attribution.

You acknowledge that Manywise is under no obligation to implement any submitted feedback.

8. Acceptable Use

To ensure a safe, reliable, and lawful experience for all users, you agree to use Manywise responsibly and in accordance with these Terms, applicable law, and the rights of others.

You must not use the Services to:

* violate any applicable law or regulation;

* engage in fraud, deception, phishing, impersonation, identity theft, or other unlawful activity;

* develop, distribute, facilitate, or promote malware, malicious software, exploits, credential theft, or harmful automation;

* gain unauthorized access to systems, networks, devices, accounts, or data;

* interfere with, overload, disrupt, reverse engineer, probe, scan, or compromise the security or availability of the Services or any connected infrastructure;

* bypass technical limitations, authentication mechanisms, subscription restrictions, usage controls, or rate limits;

* upload, process, distribute, or use content that infringes intellectual property rights, privacy rights, publicity rights, confidentiality obligations, or other rights of third parties;

* process personal data without an appropriate legal basis or authorization;

* upload confidential information, trade secrets, or special categories of personal data unless you are authorized to do so and understand the associated risks;

* create or distribute unlawful, abusive, hateful, discriminatory, violent, sexually exploitative, or otherwise prohibited content;

* harass, threaten, intimidate, exploit, or intentionally harm other individuals or organizations;

* perform unauthorized scraping, excessive automated requests, spam, or other abusive high-volume activities;

* use the Services to develop, train, benchmark, or improve competing products through unauthorized extraction or misuse of the Services;

* rely solely on AI-generated Outputs when making medical, legal, financial, tax, employment, educational, safety-critical, or other high-impact decisions without appropriate human review; or

* use the Services in any manner that could reasonably be expected to damage the reputation, security, stability, or lawful operation of Manywise.

You remain solely responsible for:

* your User Content;

* your use of the Services;

* your interactions with third parties; and

* any decisions or actions based on AI-generated Outputs.

Where we reasonably believe that a violation has occurred, we may investigate the matter and take proportionate action.

Such action may include:

* removing content;

* restricting features;

* applying temporary limitations;

* suspending access;

* terminating accounts; or

* taking any other action reasonably necessary to protect Manywise, our users, third parties, or comply with applicable law.

Nothing in this section limits any other rights or remedies available to Manywise under these Terms or applicable law.

Terms of Use (Part 4 – Final)

9. Suspension and Termination

9.1 Suspension of the Services

To protect the integrity, security, and lawful operation of Manywise, we may temporarily restrict or suspend access to all or part of the Services where reasonably necessary.

This may include situations where:

* you violate these Terms or our policies;

* we reasonably suspect fraudulent, abusive, or unauthorized activity;

* your use presents a security risk;

* payment for a paid subscription cannot be successfully processed;

* we receive a legally binding request from a competent authority;

* continued operation would violate applicable law; or

* technical, operational, or security circumstances require temporary suspension.

Where reasonably practicable, we will attempt to notify you before or shortly after a suspension takes effect.

9.2 Account Termination

You may stop using the Services at any time.

If you have a paid subscription, you may cancel it through your account settings or the customer portal provided by our payment processor.

Cancellation becomes effective at the end of the current billing period unless applicable law provides otherwise.

We may permanently terminate or disable your account where reasonably necessary, including where:

* repeated or serious violations of these Terms occur;

* fraudulent or unlawful activity is identified;

* the Services are used in a manner that materially threatens Manywise or other users;

* legal obligations require us to do so; or

* continued provision of the Services is no longer reasonably possible.

9.3 Effect of Termination

Termination or deletion of your account does not automatically require the immediate deletion of all associated information.

Certain information may continue to be retained where necessary to:

* comply with legal obligations;

* resolve disputes;

* establish, exercise, or defend legal claims;

* prevent fraud or abuse;

* maintain backup integrity; or

* protect the security of the Services.

The processing of personal data following account deletion is governed by our Privacy Policy.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Manywise makes no express, implied, statutory, or other warranties regarding the Services.

In particular, we do not warrant that:

* the Services will always be available, uninterrupted, or error-free;

* any Output will be accurate, complete, current, reliable, or suitable for your intended purpose;

* the Services will always be secure or free from vulnerabilities;

* defects or errors will always be corrected; or

* specific AI models, integrations, or features will remain available.

Artificial intelligence systems generate probabilistic outputs.

Accordingly, Outputs may contain inaccuracies, omissions, outdated information, hallucinations, bias, or other errors.

You acknowledge that you are solely responsible for reviewing, verifying, and evaluating all Outputs before relying upon them.

The Services are not a substitute for qualified professional advice, including legal, medical, financial, tax, engineering, psychological, educational, or other professional services.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Manywise and its affiliates, licensors, contractors, employees, officers, directors, agents, and service providers shall not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages.

This includes, without limitation:

* loss of profits;

* loss of revenue;

* loss of goodwill;

* loss of business opportunities;

* loss of data;

* business interruption;

* procurement of substitute services; or

* any comparable indirect or consequential loss.

To the extent permitted by applicable law, Manywise's aggregate liability arising out of or relating to the Services shall not exceed the greater of:

* the total amount you paid to Manywise during the twelve (12) months immediately preceding the event giving rise to the claim; or

* EUR 100.

Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law, including liability arising from:

* intentional misconduct;

* gross negligence where applicable;

* death or personal injury caused by negligence;

* fraudulent misrepresentation; or

* any liability that cannot legally be excluded or limited.

12. Governing Law and Miscellaneous

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

If you are a consumer residing in another jurisdiction, mandatory consumer protection laws applicable in your country of residence remain unaffected.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy, Legal Notice, and any additional policies or notices referenced within the Services, constitute the entire agreement between you and Manywise concerning your use of the Services.

We may update these Terms where reasonably necessary due to legal, technical, operational, security, or business developments.

The latest version will always be published together with its effective date.

Where required by applicable law, we will provide notice before material changes become effective.

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or operation of law.
